Owners' meeting: invitation, resolutions and minutes

At the owners' meeting, the community decides on its money and its building. Knowing the rules lets you prepare well and take part in decisions purposefully.

Invitation and agenda

The administrator must convene a meeting at least once a year (§ 24 Abs. 1 WEG). The invitation must be in text form, for example by letter or e-mail, and must be received at least three weeks before the meeting, except in cases of particular urgency (§ 24 Abs. 4 WEG). The agenda must describe the items for resolution precisely enough for every owner to see what is being decided. Owners can demand that certain items be included.

Quorum and majorities

Since the 2020 reform, every properly convened meeting has a quorum, regardless of how many owners are present or represented. Resolutions are generally passed by a majority of the votes cast (§ 25 Abs. 1 WEG). Abstentions are not counted. Special rules apply to certain questions, such as the allocation of costs for structural alterations (§ 21 WEG). How votes are counted – per head or by co-ownership shares – can be regulated differently in the community regulations.

Proxy and online participation

Anyone who cannot attend in person may be represented. The proxy must be granted in text form (§ 25 Abs. 3 WEG). The community regulations can restrict who may act as a representative. The owners can also resolve that participation online is possible (§ 23 Abs. 1 Satz 2 WEG). Since October 2024, the owners can also resolve, with at least three quarters of the votes cast, to hold purely virtual meetings for a maximum of three years (§ 23 Abs. 1a WEG). If such a resolution is passed before 1 January 2028, an in-person meeting must nevertheless take place at least once a year up to and including 2028, unless the owners unanimously waive this (§ 48 Abs. 6 WEG).

Resolutions outside the meeting

A written resolution without a meeting (Umlaufbeschluss) is possible if all owners agree in text form (§ 23 Abs. 3 WEG). The owners can also resolve that a majority vote by circulation is permitted on a specific matter.

Minutes and collection of resolutions

Minutes of the meeting are drawn up without delay (§ 24 Abs. 6 WEG). The resolutions are also entered in the collection of resolutions, which every owner can inspect. Important for buyers: the collection of resolutions and the minutes of recent years show which measures and costs the community is facing.

Challenging a resolution

If an owner considers a resolution to be flawed, he can challenge it in court. The action must be filed within one month of the resolution and reasoned within two months (§ 45 WEG). The deadline starts on the day of the meeting, not when the minutes are received. That is exactly why prompt minutes are important.

How to prepare

  • read the invitation, agenda and documents as soon as you receive them
  • send questions about the annual statement or quotes to the administration or advisory board in advance
  • if you cannot attend, grant a proxy in text form in good time
  • for resolutions on larger measures, pay attention to quotes and financing
